Conditions Générales de Vente

Article 1 - Subject Matter and Scope

These General Terms of Sale (GTS) govern the contractual relationships between Tom Etournay, sole proprietor operating the Lazystic platform, and any professional client wishing to use the proposed services.

Lazystic is a logistics management platform enabling companies to compare, book, and track their shipments with various carriers.

Article 3 - Acceptance of GTS

Any order of services implies unconditional acceptance of these GTS. The client acknowledges having reviewed the GTS prior to placing their order.

The applicable GTS are those in effect on the date of order. Lazystic reserves the right to modify the GTS at any time, with new conditions applying to orders placed after their posting.

Article 4 - Description of Services

Lazystic offers the following services:

Comparison of transport rates from various carriers
Online shipment booking
Generation of transport labels
Real-time shipment tracking
Centralized shipment management
Analysis and reporting tools

Article 5 - Pricing and Invoicing

Service prices are shown in euros excluding taxes (HT). Applicable VAT will be added at billing according to the current rate.

Invoicing occurs according to the terms defined in the chosen offer (monthly, per use, etc.). Invoices are sent electronically to the client's email address.

Lazystic reserves the right to modify its rates at any time. New rates apply to orders placed after their effective date, following prior notice to the client.

Article 6 - Payment

Payment is made by credit card or SEPA transfer according to the terms chosen during registration.

In case of payment delay, late payment penalties will be applied at three times the legal interest rate in effect, in accordance with Article L.441-10 of the French Commercial Code. A flat indemnity of 40 euros for collection costs will also be due.

In case of non-payment, Lazystic reserves the right to suspend access to services until the payment is made.

Article 7 - Client Obligations

The client undertakes to:

Provide accurate and complete information upon registration and for each shipment
Comply with applicable transport regulations
Not ship prohibited or dangerous goods without appropriate declaration
Use the services in accordance with their intended purpose
Maintain confidentiality of login credentials
Pay amounts due within agreed timeframes

Article 8 - Liability

Lazystic acts as an intermediary between the client and partner carriers. As such, Lazystic is not responsible for transport execution, which is the responsibility of the carrier.

In case of dispute related to transport (delay, loss, damage), the client must address their claim to the relevant carrier. Lazystic undertakes to assist the client in their proceedings.

Lazystic's liability is limited to direct damages resulting from proven fault in the execution of its own obligations. In any case, Lazystic's liability is capped at the amount paid by the client over the last 12 months.

Article 9 - Duration and Termination

Access to services is subscribed for the duration specified in the chosen offer. In the absence of specific duration, the contract is concluded for an indefinite period.

Either party may terminate the contract at any time with 30 days' notice, notified by email. Termination takes effect at the end of the current billing period.

In case of material breach by either party, the other party may terminate the contract outright after notice remains unheeded for 15 days.

Article 10 - Intellectual Property

The Lazystic platform, its content, and functionality are protected by intellectual property law. The client benefits from a personal, non-exclusive, and non-transferable right of use for the duration of the contract.

Any unauthorized reproduction, representation, or exploitation is prohibited.

Article 11 - Data Protection

Personal data collected are processed in accordance with our Privacy Policy, available on the lazystic.com website.

Article 12 - Force Majeure

Neither party shall be held responsible for failure to perform contractual obligations resulting from force majeure as defined by French case law.

Article 13 - Applicable Law and Disputes

These GTS are subject to French law. In case of dispute, the parties shall endeavor to find an amicable solution. Failing that, the courts of Nantes shall have sole jurisdiction.
